TERMS & CONDITIONS

MADMAN LLC, dba Zeno Rossetti, Madman Events, and Madman Cotton Candy (collectively “MADMAN,” “we,” “us,” or “our”). These Fundraising Terms & Conditions (“Terms”) apply to all fundraising collaborations with MADMAN involving shows, live spun cotton candy, and/or pre-packaged cotton candy products. By booking a fundraising show, flat-fee spinning event, or pre-sold cotton candy campaign with MADMAN, you agree to these Terms. 

Who We Are 

MADMAN LLC operates under the names: 

● Zeno Rossetti 

● Madman Events 

● Madman Cotton Candy 

We provide live entertainment, live spun cotton candy, and pre-packaged cotton candy products for events, fundraisers, and campaigns. 

Types of Fundraisers We Offer 

Show-Based Fundraisers 

Ticket Sales: MADMAN keeps 100% of ticket sales to the show. 

Live Spun Cotton Candy: MADMAN donates 100% of live spun cotton candy sales from the event to the organization. 

Pre-Packaged Products at the Show: Any pre-packaged cotton candy products sold at the show are not included in the live spun donation and are retained by MADMAN unless otherwise agreed in writing. 

Pre-Sold Online Orders (Campaigns) 

● Customers pre-order cotton candy online through a MADMAN-controlled system that designates your organization as the beneficiary. 

● MADMAN donates 20% of gross sales from that campaign back to your organization. (“Gross sales” here means the total before tax and shipping, unless otherwise specified.) 

● Donations from pre-sold campaigns are paid within 7 days of delivery of the products (or completion of final deliveries for that campaign). 

Flat Fee Spinning Events 

● Your organization/event host pays MADMAN a flat fee for on-site spinning services. 

100% of proceeds from live spun cotton candy sales at that event go directly to the event host/organization. 

● If pre-packaged products are also sold at that event, the structure for those sales (who keeps what) will be clearly stated in the Fundraiser Summary. 

Booking, Deposits & Payment 

Booking 

● Fundraiser dates are reserved on a first-come, first-served basis. 

● A booking is considered confirmed when MADMAN accepts it in writing and any required deposit is paid. 

Deposits 

● For spinning-only flat fee fundraising or company events, a $100 deposit is required to reserve MADMAN. 

● MADMAN may require deposits for other events as specified in your Fundraiser Summary. 

● Deposits are non-refundable, subject to the rescheduling terms below. 

Final Payment 

Unless otherwise stated in your Fundraiser Summary: 

● Flat fee balances are due on or before the event date

● Any agreed fees due from the organization for show-based events are due on or before the event date

● Bulk pre-packaged orders tied to a fundraiser are generally due upon delivery or within 7 days of invoice

MADMAN may accept cash, check, credit/debit cards, or electronic payments as indicated in your invoice or confirmation. 

Cancellations & Rescheduling 

Cancelling 

● Deposits are non-refundable. 

● If you cancel later than 7 days prior to your booked date: ○ Your deposit for that date is forfeited for that date

○ But it may be applied as a credit toward one rescheduled date, subject to MADMAN’s availability. 

If MADMAN must cancel due to illness, emergency, or serious cause: 

● Any deposit or prepayment received for that event will be refunded, and 

● MADMAN will make reasonable efforts to reschedule, but is not liable for indirect losses such as lost fundraising opportunity. 

Force Majeure 

Neither you nor MADMAN are liable for failure to perform due to events beyond reasonable control (e.g., severe weather, disasters, government restrictions, etc.). In such cases, both parties will work in good faith to reschedule. 

Permits & Compliance 

Permits 

All required permits, if any, are the responsibility of the event organizer, not MADMAN. 

● This includes event permits, fundraising permits, food service permissions, school district approvals, and any charitable registration requirements relevant to your organization. 

You are responsible for complying with all rules and regulations that apply to your school, nonprofit, venue, or business. 

Perishability, Risk & No Returns 

Perishability 

Cotton candy is a perishable and delicate product. 

● Once products (live spun or pre-packaged) are delivered, handed over, or set up for your event, risk of loss passes to you

● This includes melting, shrinking, settling, or texture changes due to time, heat, humidity, storage, or handling after delivery. 

No Returns 

● There is a no returns policy on all products and sales, for health and safety reasons. 

Satisfaction Guarantee 

● We do guarantee satisfaction at the time of delivery. 

● If you see a clear issue with product quality at delivery (e.g., damaged in transit, incorrect order), notify us immediately or within a short, reasonable window stated in your confirmation. 

● MADMAN may, at its discretion, offer replacement product, credit, or another remedy. 

● After that initial window, and once products are in your control, perishability-related changes are your responsibility. 

Event Logistics & Responsibilities 

You agree to: 

● Provide safe and timely access to the venue for setup and breakdown. 

● Provide necessary utilities (e.g., electrical outlets) and reasonable weather protection for outdoor setups. 

● Handle crowd management, line organization, and general attendee safety. 

● Ensure any volunteers or staff who help with product handling follow basic instructions provided by MADMAN. 

MADMAN reserves the right to pause or modify operations if conditions become unsafe. 

Marketing, Branding & Media 

Marketing Rights 

● You may use the Madman Events / Madman Cotton Candy name, logos, and approved images only to promote the specific fundraiser or event you’re doing with us. 

● We may request changes or removal of any promotional materials that misrepresent the event or negatively impact our brand. 

Photos & Video 

● MADMAN may capture photos or video at events for marketing purposes (social media, website, etc.). 

● You may also capture content featuring MADMAN for your own promotional use, as long as it does not imply ownership of our brand or business. 

You are responsible for following your own policies around photos/video of attendees, especially minors (e.g., media releases). 

Allergies, Ingredients & Health 

● We can provide basic ingredient and allergen information upon request. 

● You agree to reasonably share or display allergy information where products are sold or served, especially in environments with children. 

Attendees and customers are responsible for managing their own dietary restrictions. MADMAN is not liable for adverse reactions where accurate information has been provided or made available. 

Insurance, Liability & Indemnity 

● MADMAN maintains general liability coverage for its own operations at events at levels we deem appropriate. 

● We encourage you to carry your own event and/or general liability coverage. 

Limitation of Liability 

● To the fullest extent allowed by law, MADMAN’s total liability related to a specific fundraiser is limited to the total amount paid by you to MADMAN for that event or campaign. 

● MADMAN is not liable for indirect or consequential damages such as lost fundraising potential or lost profits. 

Indemnity 

● You agree to indemnify and hold MADMAN harmless from claims, damages, or expenses arising from: ○ Your negligence or misconduct, 

○ Your failure to obtain necessary permits or approvals, 

○ Misuse of MADMAN branding, or 

○ Misrepresentations you make to the public or attendees. 

Intellectual Property 

All logos, names, show concepts, visuals, marketing materials, and product designs are the intellectual property of MADMAN LLC

You are granted a limited, non-exclusive, revocable license to use our branding solely to promote the specific fundraiser or event we’re doing together. 

Nothing in these Terms transfers ownership of any intellectual property to you. 

Communication Terms (Email & SMS) 

Email Communications 

By providing your email address, you consent to receive emails from MADMAN related to: 

● Appointment reminders 

● Practice updates 

● Educational content 

● Promotional offers 

You may unsubscribe at any time by clicking the “Unsubscribe” link in any email. We do not sell or share your email address with third-party marketers. All commercial messages are clearly identified as such and include our mailing address at 102 Brown Ave Ste B, Chesterton, IN 46304. 

Our email communications comply with the CAN-SPAM Act. If you have any questions or issues, please contact us at our contact us page. 

SMS Text Messaging 

You may opt-in to receive SMS text messages from MADMAN for purposes such as appointment reminders, helpful resources, and promotional offers. 

By opting in, you agree to the following: 

● Message frequency varies. 

● Message and data rates may apply. 

● To opt out at any time, text STOP.

● Carriers are not liable for delayed or undelivered messages. 

Your mobile information will not be shared with third parties for marketing purposes. Our messaging program complies with CTIA guidelines and applicable law.

Governing Law & Acceptance 

These Terms are governed by the laws of the State of Indiana

By: 

● Booking a fundraiser with MADMAN, 

● Signing an Event Confirmation or Fundraiser Summary, or 

● Proceeding with a MADMAN fundraising event, 

you acknowledge that you have read, understood, and agree to be bound by these Fundraising Terms & Conditions.
